Tax rules applicable to Representative Offices (RO) in China — a very specific status with a tax regime different from companies (WFOE, JV)
🇨🇳 1. General principle: an RO is NOT allowed to generate revenue
A Representative Office (代表处) is not a company.
It has no legal personality, cannot issue invoices, and cannot sign commercial contracts (except those related to its internal operations).
👉 Even without revenue, an RO is still subject to taxation because the Chinese government considers that it nonetheless has an “economic presence.”
🇨🇳 2. Three main taxes apply
✔ 1) Corporate Income Tax (CIT) – Tax on “deemed profit”
An RO is taxed even with zero revenue through a flat method called:
👉 Deemed Profit Method
Taxable income calculation:
- Total expenses of the RO ×
- Deemed profit margin (15–30%) ×
- CIT rate of 25%
➡️ In practice, CIT often represents 8%–12% of annual expenses.
✔ 2) VAT – Value Added Tax
Since 2016, ROs are subject to VAT on certain administrative activities or expenses (depending on the nature of the transactions).
- Standard VAT rate for administrative services: 6%
- But since an RO cannot sell anything, VAT mainly applies to the services the RO is considered to “provide.”
👉 In practice, VAT due is limited, but VAT filing remains mandatory.
✔ 3) Local surtaxes
In addition to VAT:
- local surtax (1%)
- education surcharge (3%)
- additional local surcharge (2%)
➡️ Total: around 6% of VAT paid.
🇨🇳 3. Alternative taxation methods
Certain ROs may opt for:
✔ A. Revenue-based method
Rare, as an RO is not allowed to have revenues.
✔ B. Cost-based method (most common)
All RO expenses become the tax base.
Expenses typically included:
- local & foreign employee salaries
- office rent
- service fees
- administrative expenses
- operating costs
- representation expenses
⚠️ Artificially reducing expenses is impossible:
Authorities require full documentation and may reinstate estimated amounts.
🇨🇳 4. Reporting obligations
✔ Monthly / quarterly filings
- VAT
- local surtaxes
- deemed-profit-related taxes
- social security filings (if employees)
✔ Annual CIT filing
Even if the RO has no revenue.
✔ Mandatory Chinese bookkeeping
- accounting in RMB
- according to PRC GAAP
✔ Annual audit
Usually required for foreign ROs (requested by banks and SAFE).
🇨🇳 5. Tax treatment of RO employees
✔ For Chinese employees
ROs must handle:
- Individual Income Tax (IIT) withholding
- full social security contributions
- standard payroll obligations
✔ For expatriates
- IIT is mandatory
- tax-exempt benefits in kind (until 2027)
- obligation to file IIT based on duration of stay
🇨🇳 6. No possibility to repatriate profits
Unlike a WFOE, a Representative Office:
❌ cannot declare dividends
❌ cannot legally repatriate profits
❌ cannot sign commercial contracts
❌ cannot invoice services
👉 Any activity generating revenue must be conducted through a WFOE.
